1. Agreement and eligibility
These Terms of Service govern access to the websites, console, APIs, messaging, voice, verification, number, email, and related services provided by YOUYISMS INC (collectively, the “Services”). By creating an account or using the Services, you represent that you can enter into a binding agreement and that you are acting for yourself or an organization you are authorized to represent.
2. Accounts and security
You must provide accurate registration information and keep it current. You are responsible for account users, credentials, API keys, sender identities, and all activity under your account. Keep API secrets server-side, use reasonable access controls, and notify us promptly if credentials may be compromised.
3. Communications and consent
You may use the Services only to contact recipients when you have the notices, consent, and other legal basis required for the message, destination, channel, and content. You must honor opt-out requests, suppression lists, quiet-hour rules, identification requirements, and carrier or industry policies. You are responsible for the content and timing of your communications.
4. Acceptable use
You may not use the Services for unlawful, deceptive, abusive, discriminatory, harassing, or fraudulent activity; unsolicited bulk messaging; phishing; malware; traffic pumping; artificial inflation; evasion of carrier or platform controls; infringement of rights; or content that creates a material risk to recipients, networks, or others. We may investigate and block traffic that appears harmful or noncompliant.
5. Numbers, sender identities, and routes
Telephone numbers and sender identities are licensed for use with the Services and are not sold. Availability, capability, portability, registration, and continued assignment depend on regulators, carriers, and local rules. Routes and upstream providers may change to maintain quality, compliance, or availability.
6. Fees and payment
You agree to pay the rates, carrier fees, taxes, number charges, and other amounts shown in your account or order. Usage records maintained by YouYi determine billable consumption unless shown to be incorrect. Prepaid balances may be required. We may suspend paid features when balances are insufficient or invoices are overdue.
7. Availability and changes
We work to provide reliable Services, but telecommunications depend on third-party networks and are not guaranteed to be uninterrupted or error-free. We may change features, routes, limits, or documentation to address security, regulation, provider requirements, or product improvement. Material changes will be communicated where reasonably practical.
8. Data and privacy
Our Privacy Policy at zenvoratech.net/legal/privacy explains how we handle personal information. Each party will comply with the data-protection obligations that apply to its role. You must not submit sensitive data unless the applicable Service and written agreement expressly permit it.
9. Suspension and termination
You may stop using the Services at any time. We may restrict or terminate access for breach, security risk, suspected fraud, unlawful activity, nonpayment, network harm, or a legal or provider requirement. Sections that by their nature should survive termination, including payment, disclaimers, liability, and indemnity, will survive.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YOUYI DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT DELIVERY, COVERAGE, OR RESULTS WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. THE AGGREGATE LIABILITY OF YOUYI ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will defend and indemnify YOUYISMS INC and its personnel from third-party claims arising from your content, traffic, recipients, failure to obtain consent, violation of law, or breach of these Terms, except to the extent caused by YouYi’s own breach or misconduct.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Courts located in Sheridan County, Wyoming will have exclusive jurisdiction, unless applicable law requires another forum.
